Terms of Service

These Terms of Service (the "Terms") govern your access to and use of David Data (the "Service"), operated by David and BKS Inc. ("David and BKS", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
David Data provides programmatic access to synthetic financial market data, including historical and simulated market scenarios and related datasets, delivered through an API and related interfaces. All data provided through the Service is artificially generated.
2. Synthetic data; not financial advice
The data provided through the Service is synthetic and does not represent real securities, issuers, prices, or events. It is not, and must not be relied upon as, financial, investment, legal, accounting, or tax advice, or as a recommendation to buy, sell, or hold any security or financial instrument.
You are solely responsible for any decisions or models you build using the Service, and for ensuring your use complies with all applicable laws and regulations.
3. Accounts and API keys
Certain features require an account and an API key. You are responsible for safeguarding your API keys and for all activity that occurs under your account. You must notify us promptly of any unauthorized use. We may suspend or revoke keys that we reasonably believe are compromised or used in violation of these Terms.
4. Acceptable use
You agree not to:
- exceed, circumvent, or interfere with rate limits, quotas, or other technical restrictions;
- resell, redistribute, or sublicense the Service or bulk-export the data except as expressly permitted by your plan;
- attempt to gain unauthorized access to the Service or its related systems;
- use the Service to violate any law or the rights of any third party, or to misrepresent synthetic data as real market data; or
- use the Service to develop a competing product by replicating its datasets or generation methods.
5. Plans, fees, and changes
Paid plans are billed in advance on a recurring basis according to the plan you select. Fees are non-refundable except where required by law. We may change pricing or plan features on a going-forward basis with reasonable notice. You may cancel at any time; cancellation takes effect at the end of the current billing period.
6. Intellectual property
The Service, including its software, datasets, generation methods, and documentation, is owned by David and BKS Inc. and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service and the data you retrieve for your internal business or research purposes.
7. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any synthetic data will be suitable for any particular purpose.
8. Limitation of liability
To the maximum extent permitted by law, David and BKS Inc. and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim.
9. Termination
We may suspend or terminate your access to the Service if you breach these Terms or use the Service in a way that may cause harm to us or others. Upon termination, your right to use the Service ceases immediately.
10. Governing law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. You agree that the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
11. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
